Job Description:

Provide comprehensive end-to-end HR support for Mergers, Acquisitions, and Divestitures (MA&D). Ensure alignment with business strategies, processes, local cultures, and legal requirements. Coordinate HR resources in all phases of transactions including: project development, due diligence, development and implementation of negotiations strategy, and integration. Ensure use of best practices and lessons learned across all transactions to constantly improve value of deals. Maintain appropriate Business Development and HR relationships. Ensure BHR and line management understand TR philosophies and work with the business to identify solutions that align with these philosophies and guiding principles

Job Responsibilities:

  • On larger acquisitions, leads a team of representatives from all areas of HR (talent acquisition, performance management, compensation, benefits, talent management, etc.) to ensure all HR efforts are coordinated. Provides project direction and represents HR to all areas of the company in these efforts.
  • Conducts comparative analysis for all HR-related items to ensure smooth integration of mergers and acquisitions into the organization. Partners with specific HR areas to identify best practices and to ensure external market competitiveness and internal consistency balanced with regional specific circumstances and historical policies/practices, providing valuable insight on integration of HR processes and practices.
  • Responsible for creating and/or enhancing the structure of the M&A due diligence and integration process, including integration checklists, project templates, best practices, and project management tools.
  • Oversees all human capital-related aspects of assigned transactions including due diligence, integration planning and process management.
  • Tracks and analyzes HR costs and can report against due diligence assumptions, ensuring costs are aligned with purchase agreement or TSA terms
  • Serves as the liaison to various groups (compensation, benefits, Business HR, talent acquisition, payroll, executive compensation, legal, etc.) with respect to all M&A activities.
  • Coaches and mentors less experienced staff associated with M&A integration projects/processes.
  • Participates in special projects and studies as assigned.
  • Partners with Business Development Managers during due diligence, including making recommendations on HR strategy, deal model assumptions, purchase agreement terms and operational HR risks

Job Requirements:

  • Strong communication skills: ability to articulate complex topics both verbally and in writing to audiences at all levels
  • Merger and Acquisition experience
  • Experience project managing in a team environment (preferably M&A activities)
  • Knowledge of the due diligence processes and procedures used within the context of mergers, acquisitions, divestitures, and/or joint ventures.
  • Sound understanding of applicable laws and regulations that can affect merger, acquisition, divestiture, and joint venture decisions (such as collective bargaining agreements, employment agreements, DB/DC plans language and funding, health and welfare plan requirements, current/potential employment-related litigation and/or complaints) and the wherewithal to seek appropriate guidance for non-traditional matters.
  • Completion of formal project management training.
  • 7+ years’ broad-based Human Resources experience
  • Highly self-motivated with ability to work independently as well as collaboratively with colleagues
  • Master’s degree or MBA
  • Experience at a consulting firm leading mergers and acquisitions activities on behalf of clients.
  • Experience with analyzing and reporting data to identify issues, trends, or exceptions to drive improvement of results and find solutions
  • Strong organizational, analytical (including data analytics) and problem-solving skills
  • Experience interfacing with all levels of employees and management
